Supporter Exchange Terms and Conditions

About Seat Unique

Seat Unique offer official and exclusive access to tickets and hospitality packages for live events and experiences through the use of our safe and transparent marketplace www.seatunique.com. Our supporter exchange platform (the “Supporter Exchange”), operated for and under licence to The Welsh Rugby Union Limited (WRU), is a secure ticket trading platform, enabling verified supporters and rugby clubs to buy and sell tickets to certain matches of the Welsh men’s rugby union team.

Seat Unique, through its integrated verification tool, verifies all sellers prior to any tickets being listed for sale on the Supporter Exchange to ensure the authenticity of all tickets being listed. However, it does not guarantee that all information provided will be accurate.

These terms and conditions have been prepared to ensure your satisfaction and understanding of the account set up, ticket listing, and ticket purchase process, in each case on the Supporter Exchange.

For the avoidance of any doubt, these Terms and Conditions only apply to the use of, and tickets purchased through, the Supporter Exchange. Our Supporter Exchange Terms

Our Supporter Exchange terms and conditions comprise the following policies and terms and conditions which, together with any other Seat Unique and/or WRU agreements mentioned on our site, apply to your use of our service and are incorporated into these terms and conditions by reference:

  • Our User Agreement – which establishes the terms on which users may access and use the website, our service and the Supporter Exchange (See Section A);
  • The WRU Privacy Policy (see https://www.wru.wales/legal/legal-and-privacy/) which set out the terms on which any personal data collected from you, or that you provide to us, is used. By using our site, you consent to such processing you warrant that all data provided by you is accurate;
  • Our Acceptable Use Policy (See Section B), which sets out the permitted uses and prohibited uses of our service. When using our service or our site, you must comply with this Acceptable Use Policy;
  • Our Listing Terms and Conditions (See Section C), which set out the rules governing the listing and selling of tickets to buyers via our service (applicable to both individual sellers and sellers that are rugby clubs who are members of the WRU);
  • Our Terms and Conditions of Purchase (See Section D), which sets out the rules governing the purchase of tickets from sellers via our service;
  • The WRU Ticket Terms and Conditions (see https://www.wru.wales/tickets/terms-and-conditions/ticket-terms-and-conditions/) which set out the terms governing all tickets sold by the WRU for Matches (including those tickets that are re-sold through the Supporter Exchange);
  • The WRU Ground Regulations (see https://www.principalitystadium.wales/information/ground-rules/) and WRU Terms of Admission (see https://www.wru.wales/tickets/terms-and-conditions/terms-of-admission/) which set out the ground rules and regulations governing attendance at the venue and which apply to and govern all tickets sold for Matches (including those tickets that are re-sold through the Supporter Exchange); and
  • Any other terms and conditions imposed by either Seat Unique, WRU and/or the venue from time to time,

(together the “Terms and Conditions”).

Our Legal Position

Seat Unique provide the platform across which supporters can buy and sell tickets for Matches. Neither Seat Unique nor WRU are party to the contract, agreement or arrangement between the buyer and seller relating to the purchase or sale of tickets for Matches using our service. When tickets are bought and sold using our service, the contract is directly between the buyer and the seller of those ticket(s).

Our Terms and Conditions form the basis of your contract with us in respect of your use of our site, the Supporter Exchange and our service.

Changes to these Terms

We may revise, amend or add to our Terms and Conditions at any time by amending this page (or the pages of those policies that form part of these Terms and Conditions) and posting a new version of these terms (or the relevant policies) on our site. Where you have an account with us, we will endeavour to provide you with reasonable notice of any changes. This set of Terms and Conditions was published on 1 February 2022.

Definitions used

In these Terms and Conditions:

  • “Club” means any rugby club that is a member club of the WRU;
  • “Club Account” means a special user account set up for Clubs which shall be subject to certain additional terms and conditions as set out in the Listing Terms and Conditions contained in these Terms and Conditions;
  • “Matches” means any match which is owned and/or controlled by the WRU which is to be played between the Welsh men’s rugby union team and the senior men’s rugby union team of another nation at the venue and for which tickets are made available for purchase or sale via our service;
  • “our site”, the “site” or the “website” means https://welshrugbyticketexchange.seatunique.com/;
  • “our service” means the website, services and applications of Seat Unique used to provide and/or operate the Supporter Exchange through any means, platform, technology or device;
  • venue’ means the stadium located at Westgate Street, Cardiff, known as the Principality Stadium and/or such other stadium at which a Match takes place;
  • ‘We’, ‘us’ ‘Seat Unique’ or ‘our’ means RMS Events Ltd (t/a Seat Unique), a private company limited by shares and registered in England and Wales with company number 11313999 having its registered office at Co-Work, Three Tuns House, 109 Borough High Street, London, England, SE1 1NL;
  • ‘WRU’ means The Welsh Rugby Union Limited, a private company limited by shares and registered in England and Wales with company number 03419514 having its registered office at Principality Stadium, Westgate Street, Cardiff, CF10 1NS;
  • ‘You’ or ‘your’ means the person or entity using the Supporter Exchange to list and/or purchase tickets for Matches.

If any provision of these Terms and Conditions is or becomes illegal, invalid or unenforceable in any respect, that shall not affect or impair the legality, validity or enforceability of any other provision of these Terms and Conditions.

Seat Unique may at any time assign, transfer, mortgage, charge, subcontract or deal in any other manner with all or any of its rights or obligations under these Terms and Conditions, including but not limited to the WRU, and these Terms and Conditions shall be binding on and continue for the benefit of the successors and assignees of Seat Unique.

A. USER AGREEMENT

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SUPPORTER EXCHANGE. BY CONTINUING TO USE THE SUPPORTER EXCHANGE YOU ARE AGREEING TO BE BOUND BY THESE TERMS AND CONDITIONS.

PLEASE NOTE. THE SUPPORTER EXCHANGE IS OPERATED FOR AND UNDER LICENCE TO THE WRU BY SEAT UNIQUE. TICKETS LISTED FOR SALE ON THE SUPPORTER EXCHANGE ARE BY SELLERS WHO HAVE BEEN AUTHORISED AND GRANTED PERMISSION TO RE-SELL THEIR TICKETS BY WRU.

BUYERS OF TICKETS ON THE SUPPORTER EXCHANGE WILL NOT BE ABLE TO RE-SELL THEIR TICKETS FOR SALE ON EITHER THE SUPPORTER EXCHANGE OR ANY OTHER SECONDARY TICKETING PLATFORM. THE RE-SELLING OF TICKETS PURCHASED ON THE SUPPORTER EXCHANGE IS STRICTLY FORBIDDEN AND ANY TICKETS SOLD IN BREACH OF THIS TERMS MAY NOT BE GRANTED ACCESS TO THE VENUE FOR THE RELEVANT MATCH WITHOUT ANY RECOURSE WHATSOEVER TO SEAT UNIQUE AND/OR WRU.

IN ACCORDANCE WITH s.90 OF THE CONSUMER RIGHTS ACT 2015, ALL USERS OF THE SITE AGREE AND ACKNOWLEDGE THAT NO PERSON SHALL BE ENTITLED TO LIST A TICKET FOR SALE WHO IS EITHER (I) AN OPERATOR OF THE SUPPORTER EXCHANGE, (II) A PERSON WHO IS A PARENT UNDERTAKING OR A SUBSIDIARY UNDERTAKING IN RELATION TO AN OPERATOR OF THE SUPPORTER EXCHANGE, (III) A PERSON WHO IS EMPLOYED OR ENGAGED BY AN OPERATOR OF THE SUPPORTER EXCHANGE, (IV) A PERSON WHO IS ACTING ON BEHALF OF A PERSON WITHIN PARAGRAPH (III), OR (V) AN ORGANISER OF THE MATCH OR A PERSON ACTING ON BEHALF OF AN ORGANISER OF THE MATCH.

NO PERSON SHALL BE ENTITLED TO LIST A TICKET FOR SALE ON THE SUPPORTER EXCHANGE IN THE COURSE OF A TRADE, BUSINESS OR PROFESSION OR ON BEHALF OF OTHERS.

  1. User AgreementThis User Agreement ("User Agreement") establishes the terms on which you may access and use the Supporter Exchange, our site and our service, either as a guest or as a registered user.
    The Supporter Exchange is operated by Seat Unique for and under licence to the WRU.
    It is a platform and service provided exclusively for Matches and only for sellers who have been authorised by the WRU to list their tickets for sale on the platform.
    Use of the Supporter Exchange includes accessing, browsing, listing, posting, uploading, using or registering to use our service.
    We only provide our service for private, personal, and non-commercial use and you agree not to use our service for any commercial or business purposes.
    Your use of our service via third party media and your use of any third party's services via our site (including, without limitation, PayPal), may be subject to separate terms and conditions as required and provided by the relevant third party(ies).
    Please read this User Agreement carefully before you start to use our service. We recommend that you print a copy and/or save it to your computer for future reference.
    If you are under 18 years of age you must not use our service.

    By using our service, you confirm that:you accept this User Agreement and you will comply with it; and
    you agree to the collection and use of your personal data in accordance with the WRU Privacy Policy.

If you do not agree to and accept this User Agreement, you must not use our service.

  1. Accessing our serviceOur service is accessed via the site. There is no charge to access our site. Sellers and buyers who list / purchase tickets on the site and use our service will be charged a non-refundable transaction fee by Seat Unique.
    We may suspend, withdraw or discontinue all or any part of our site and/or our service without notice.
    We do not guarantee that our service, or any content on our site, will always be available, uninterrupted or free from errors or omissions. Access to our service is permitted on a temporary basis.
    You are responsible for making all arrangements necessary for you to have access to our service, and any associated costs.
    You are also responsible for ensuring that all persons who access our site through your internet connection are aware of our terms and conditions of use and any other applicable terms and conditions, and that they comply with them.
  2. Your account details and set upWhen you set up an account on the Supporter Exchange you will be required to provide a password for authentication and security procedures. This password must be kept confidential by you and must not be disclosed to any third party. If Seat Unique suspects there has been a security breach in relation to your account we shall be entitled to suspend, restrict access, or close your account for either a temporary period of time or permanently.
    We have the right to disable your account, whether chosen by you or allocated by us, at any time, if we believe that you have breached our terms and conditions.
    If you know or suspect that anyone other than you knows your password, you should promptly notify us at enquiries@seatunique.com.
    We are not responsible for monitoring any communications that you may provide or post via our service, but we are permitted to monitor such communications.
    In the event that you delete your account, any content and/or data you have provided and/or posted may remain on our servers for a limited period of time as part of our backup system. Any such data will be held by us in accordance with WRU’s Privacy Policy (https://www.wru.wales/legal/legal-and-privacy/).
  3. Intellectual property rightsThe Supporter Exchange and its entire contents, features, and functionality, including user uploaded ticket offerings and listings, all other information, software, text, displays, images, video, and audio, as well as the design, selection, arrangement, and compilation thereof, are owned by either Seat Unique or by WRU and provided to us under licence. All such materials are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

    By using our service and/or accessing our site you warrant to us and to the WRU (jointly and severally) that you will not:copy our site or our service for your own commercial purposes; and/or
    directly or indirectly copy, recreate, decompile, reverse engineer or otherwise obtain, modify or use any source or object code, architecture, algorithms contained in our service or any documentation associated with it.
    Users are not permitted to use any illustrations, photographs, video or audio sequences or any graphics contained within the site or contained with any materials downloaded from the site, or sent to you as part of our service.
    You must not use any part of the content on our site for commercial purposes without obtaining a licence to do so from us or our licensors or any relevant third parties.
    Any breach by you of the terms of this clause 4 will result in the immediate cessation of your rights to use our site and/or our service.
    The Seat Unique name and logo are trademarks of Seat Unique.
    The WRU name and logo are trademarks of WRU and/or any member of its group of companies and are subject to extensive trade mark registrations worldwide.
    In each case, you must not use the marks without the prior written permission of the owner of such marks. All other trademarks, names, logos, designs, and slogans on our site are the trademarks of their respective owners.
  4. TaxesYou are responsible for determining whether any taxes are due on your sale of a ticket or tickets using our service. To the extent you have an income tax liability or a corporation tax liability or any other tax liability as a result of using our service, you are solely responsible for remitting and paying such taxes to the appropriate taxing authority and neither Seat Unique no WRU shall have any liability to you in respect of any tax charges incurred by you on the sale of any such ticket(s).
  5. DisclaimerSeat Unique does not promise that the site will be error-free, uninterrupted, nor that it will provide specific results from use of the Site or any content, search or link on it. The site and its content are delivered on an "as-is" and "as-available" basis. Seat Unique cannot ensure that files you download from the site will be free of viruses or contamination or destructive features. Seat Unique disclaims all warranties, express or implied, including also any implied warranties of merchantability and fitness for a particular purpose. Seat Unique will not be liable for any damages of any kind arising from the use of this site, including without limitation, direct, indirect, incidental, and punitive and consequential damages.
    We do not guarantee that our site or our service will be secure or free from bugs or viruses and we will not be liable for any loss or damage caused by a virus, malicious software, bugs, glitches, distributed denial-of-service attack, or other technologically harmful material that may infect or affect your computer equipment, computer programs, data, telecommunications equipment and/or devices or other proprietary material due to your use of our service or to your downloading of any content on our site, or on any website linked to it.
    Seat Unique disclaims any and all liability for the acts, omissions and conduct of any third party users, Seat Unique users, advertisers and/or sponsors on the site, in connection with our service or otherwise related to your use of the site and/or our service.
    We are not responsible for the products, services, actions or failure to act of any venue, team, or other third party in connection with or referenced on the site.
    Without limiting the foregoing, you may report the misconduct of users and/or third party advertisers, service and/or product providers referenced on or included in the site to the WRU using the address in these terms.
    The content on our site is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.
    Although Seat Unique shall, using all reasonable efforts through its integrated verification tool, verify the accuracy of the information on our site, including the verification of the identity of sellers and/or the authenticity of tickets for Matches which are listed via our service, we make no representations, warranties or guarantees, whether express or implied, that the content (including information on listed tickets) on our site is accurate, complete or up-to-date, or that tickets listed via our service are valid or authentic.
  6. Limitation of our liabilityCertain rights and remedies may be available under applicable competition or consumer law or similar legislation and may not be permitted to be excluded, restricted or modified. As such, nothing in these Terms and Conditions shall limit or exclude our liability for fraudulent misrepresentation, for death or personal injury resulting from our negligence or the negligence of our agents or employees, or for any other liability that cannot be limited or excluded by law.
    To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our site and our service or any content on it, whether express or implied.

    We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:your use of, or inability to use, our site or service;
    your use of or reliance on any content or information displayed on our site; and
    any breach by other users of the user agreement
    We are not responsible for the acts or omissions of users, buyers or sellers and we are not under any obligation to honour orders or purchase of tickets including where there has been an error or a misrepresentation.
    We are not responsible for any of the Matches for which tickets are listed or purchased via our service and we do not make any guarantees or representations that such Matches will take place and/or in the manner advertised.
    Our liability, and the liability of the WRU, to you or any third party (whether in contract, tort or otherwise) is limited to the greater of: (i) in respect of a dispute regarding a specific transaction, the total value of such transaction; and (ii) in respect of all other disputes, GBP £100.
    We will not be liable to you if, for any reason, our site or our service is unavailable at any time or for any period.

    You acknowledge that our service is dependent on third-party services, including but not limited to:banks, credit card providers and merchant gateway providers;
    telecommunications services;
    e-delivery services;
    ticket verification providers;
    hosting services;
    email services; and
    analytics services.
    You agree that we shall not be responsible or liable in any way for interruptions to the availability of our service due to third-party services.
  7. Indemnity

You agree to indemnify Seat Unique and WRU and to keep Seat Unique and WRU indemnified in full for any claims, losses, expenses, damages, costs (including reasonable legal fees) and liabilities we incur as a result of your use of our site or our service or as a result of any breach or alleged / suspected breach by you of these Terms and Conditions (including any of the policies incorporated into these Terms and Conditions), any use by you of our site or our service which is unlawful or improper or your breach or violation of any law or the rights of any third party.

  1. Uploading details to our siteAny use of the Supporter Exchange which allows you to upload details to our site must comply with our Acceptable Use Policy.
    We have the right to remove or edit any details listed by you on our site if, in our opinion, those details do not comply with the content standards set out in our Acceptable Use Policy and/or any other policies referred to in this User Agreement.
  2. Security
    Seat Unique and WRU take the security of our service and the privacy of our users very seriously. You agree that you shall not do anything to prejudice the security or privacy of our systems or the information on them, including without limitation:misusing our site, service, user information and/or accounts by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful;
    attempting to gain unauthorised access to our service, the server on which our site is stored or any server, computer or database connected to our site or our service and/or other user accounts; or
    attacking our site or our service via a denial-of-service attack or a distributed denial-of service attack.
  3. Linked Sites, Links and Search ResultsThe site may automatically produce search results that reference or link to other third party websites. This site may also be accessed via links from other third party websites (to the extent that such links have been approved in writing by us first) (together “Third Party Sites”). Seat Unique has no control over Third Party Sites or the content within them. We cannot guarantee, represent or warrant that the content contained in any Third Party Site is accurate, legal and/or inoffensive. Seat Unique does not endorse the content of any Third Party Site, nor do we warrant that they will not contain viruses or otherwise impact your computer. By using the site to search for or link to another site, or by using any Third Party Site to search for or link to the site, you agree and understand that you may not make any claim against Seat Unique for any damages or losses, whatsoever, resulting from your use of the site to obtain search results or to link to another site or from your use of Third Party Sites to search for or link to the site.
  4. Violation of the TermsYou understand and agree that in Seat Unique’s sole discretion, and without prior notice, Seat Unique may terminate your access to the site, cancel your ticket order or listing or exercise any other remedy available and remove any unauthorised user content, if we believe that the user content you provided or your use of our service has violated or is inconsistent with these Terms and Conditions or has violated the rights of Seat Unique and/or the WRU, another user, any of our suppliers or the law. You agree that monetary damages may not provide a sufficient remedy to Seat Unique for violations of these Terms and Conditions and you consent to injunctive or other equitable relief for such violations. Seat Unique may release user information about you if required by law, or if the information is necessary or appropriate to release to address an unlawful or harmful activity. Seat Unique is not required to provide any refund to you if you are terminated as a user because you have violated these Terms and Conditions.
  5. Disputes

The site, our service and the Supporter Exchange are controlled and operated by Seat Unique. If there is any dispute about or involving the site, our service and/or the Supporter Exchange you agree that the dispute will be governed and construed by the laws of England and Wales.

B. ACCEPTABLE USE POLICY

  1. Prohibited Uses
    You may use our service only for lawful purposes. You may not use our service:in any way that breaches any applicable local, national or international law or regulation.
    as a ‘trader’ and/or in the course of a commercial business practice.
    in any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect. This would include for example the offer of tickets for any Match which (a) does not exist and/or (b) is in the past and/or (c) has been cancelled.
    for the purpose of harming or attempting to harm minors (persons under the age of 18) in any way.
    to send, knowingly receive, upload, download, use or re-use any material which does not comply with terms and conditions.
    to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation.
    to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

    You also agree:not to reproduce, duplicate, copy or re-sell any part of our service in contravention of the provisions of our Terms and Conditions.
    not to publish, distribute, or otherwise make public third party contact information you receive from a buyer or seller received as part of a transaction through our site.

    not to access without authority, interfere with, damage or disrupt:any part of our service;
    any equipment or network on which our site is stored;
    any software used in the provision of our service;
    any equipment, network or software owned or used by any third party; or
    other users' accounts or personal information (other than to the extent strictly necessary to complete the transaction between buyer and seller in accordance with our Terms and Conditions of Purchase and/or Listing Terms and Conditions).
  2. Suspension and TerminationWe will determine, in our discretion, whether there has been a breach of this Acceptable Use Policy through your use of our site. When a breach of this Policy has occurred, we may take such action as we deem appropriate.

    Failure to comply with this Acceptable Use Policy constitutes a material breach of the User Agreement upon which you are permitted to use our site and/or our service, and may result in our taking all or any of the following actions:immediate, temporary or permanent withdrawal of your right to use our service.
    immediate, temporary or permanent removal of any posting or material uploaded by you to or via our service.
    issue of a warning to you.
    legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
    further legal action against you.
    disclosure of such information to law enforcement authorities as we reasonably feel is necessary.
    If tickets are listed and/or sold through the Supporter Exchange in breach of these Terms and Conditions, Seat Unique and WRU reserve the right to take any such action as it shall deem necessary against any such seller (whether that be an individual or a Club) including to, but not limited to, referring any such seller to the WRU's ticket review panel which shall be able to deliver potential sanctions against such seller.
    We disclaim liability for actions taken in response to breaches of this Acceptable Use Policy. Our response is not limited to those responses described in this Policy, and we may take any other action we reasonably deem appropriate.

C. TERMS AND CONDITIONS OF PURCHASE

These Terms and Conditions of Purchase form part of our Terms and Conditions that you expressly agree to be bound by when purchasing or acquiring ticket(s) on our site.

  1. EligibilityIn order to purchase or acquire ticket(s) listed on our site, you must be able to enter into legally binding contracts and be aged at least 18 years old.
    You may only purchase or acquire ticket(s) for your own personal and non-commercial use, save that Clubs may purchase or acquire ticket(s) through the Supporter Exchange for onward distribution to members in accordance with the Club’s arrangements with WRU.
    Tickets purchased through the Supporter Exchange are not permitted for on-wards re-sale.
    You must not obtain or attempt to obtain any ticket(s) through any automated means including, but not limited to, spiders and robots, or solicit any third parties to enter into or attempt to enter into multiple transactions (whether simultaneous or otherwise) of ticket(s) on your behalf.
  2. Alternative ListingsTickets may be made available for sale on the Supporter Exchange at a time when other tickets are still available through WRU’s primary ticket channels (for example the WRU eticket portal (www.eticketing.co.uk/principalitystadium), the WRU ticket office located at the venue and WRU member clubs (together the “WRU Primary Ticketing Channels”).
    Where tickets for Matches may still be available from WRU Primary Ticketing Channels, Seat Unique shall notify any user of the site before it views any listing on the site and prior to the user completing its proposed purchase. However, Seat Unique shall not be held liable to the extent a buyer purchases a ticket for a Match through the Supporter Exchange where tickets for Matches were still available (whether at a lower value or otherwise) on the WRU Primary Ticketing Channels. It shall be the buyer’s ultimate responsibility to search for all and any available tickets for a Match prior to using the Supporter Exchange.
  3. Seat Unique Fees, Price and PaymentThe purchase price for the tickets made available on the Supporter Exchange are set by the seller of those tickets, and may be higher or lower than the face value of the ticket.
    Seat Unique shall comply with its legal obligations to ensure that the site and the Supporter Exchange provides all relevant information in relation to the tickets listed (including the block location and seat number and face value of the ticket). However, if the buyer has any queries regarding the ticket (whether as to price, location or otherwise) it should contact WRU before making a purchase.

    You accept that as a buyer you will be responsible for the following costs:the purchase price of the ticket(s) (as set by the seller);
    a non-refundable digital fulfilment fee per ticket payable to WRU; and
    a non-refundable transaction fee per ticket payable to Seat Unique.
    PLEASE NOTE: the transaction fee referred to at clause 3.3.3 payable to Seat Unique may be up to or equal to 15% of the purchase price of the ticket set by the seller. This is payable in addition to the purchase price.
    £1 per ticket sold on the Supporter Exchange will be donated to Seat Unique and WRU charities. This donation will be deducted from the fee at clause 3.3.3 and will not affect the price you pay or any refund you may be entitled to.
    You must pay immediately for any ticket(s) that you commit to buying via our service.
    We accept the following credit cards and debit cards as payment for the goods: Visa, Mastercard and American Express.
    We will do all that we reasonably can to ensure that all of the information you give us when paying for the goods is secure by using an encrypted secure payment mechanism. However, in the absence of negligence on our part, any failure by us to comply with these terms and conditions or the WRU Privacy Policy or breach by us of our duties under applicable laws we will not be legally responsible to you for any loss that you may suffer if a third party gains unauthorised access to any information that you give us.
    Your credit card or debit card will be charged once your order has been accepted by us.
    All payments by credit card or debit card need to be authorised by the relevant card issuer. We may also need to use extra security steps via Verified by Visa; Mastercard®SecureCodeTM; or American Express SafeKey. & 3D Secure.
  4. Restricted Tickets
    Certain tickets are restricted by WRU from being listed on the Supporter Exchange (“Restricted Tickets”). These include (but are not limited to), tickets that are:designated as ‘complimentary’ on the face of the ticket; and
    tickets issued to certain restricted groups (such as members of the national squad; directors and employees of the WRU (or any of its affiliates and group companies); ex-international players; referees; Club secretaries; competition winners; away Unions; and sponsors).
    If Seat Unique and/or WRU become aware that any Restricted Tickets have either been (i) listed; or (ii) purchased for any relevant Match, it shall be entitled, without recourse to it, to remove and/or cancel and refund the full purchase price of that ticket. Seat Unique shall endeavour to (but shall not be required to) find a replacement ticket of equivalent price for any such ticket so cancelled and refunded to a buyer.
    Certain categories of tickets are not prohibited from being listed, but are subject to certain qualifying restrictions. For example, a concession ticket must be purchased for use by a concession and a ticket for a supporter with accessibility requirements must be purchased for use by another supporter with accessibility requirements. As such, when you purchase a ticket, you warrant that you will comply with any use restrictions and/or qualifying conditions applicable to that ticket. You may be required by WRU or Seat Unique to provide evidence of your qualifying status in relation to a ticket that you purchase through the Supporter Exchange.
  5. Digital DeliveryAll tickets bought and sold through the Supporter Exchange shall be delivered digitally via the Principality Stadium Ticketing App. You will be provided with instructions on how to access your tickets once your order is confirmed.
  6. Personal InformationYou should take care in the type of information you share via our service and you should only share personal information (including contact details and financial information, for example) as necessary and requested by us (in each case in accordance with WRU’s Privacy Policy (https://www.wru.wales/legal/legal-and-privacy/).
    All information, data and content that you provide and/or post must be accurate and be kept up to date by you - this includes contact information - as we and/or WRU need to be able to contact you.
    You agree not to provide us, our service or other users (including sellers) with false information (including contact details).
  7. Ticket ListingsSeat Unique shall, using all reasonable efforts through its integrated verification tool, verify the identity of sellers and/or the authenticity of tickets for Matches which are listed via our service. However, you agree that we are not responsible for the accuracy of any ticket information posted and it is your responsibility to ensure that details of the ticket(s) listed correspond with the Match you are interested in and tickets you believe you have purchased.
    You should make all reasonable efforts to verify the legitimacy of the ticket(s) you wish to purchase, for example by checking location and venue details, dates and times of the event advertised, seat allocation / seat numbers and face value of the ticket(s) in question before you commit to buying them.
    You acknowledge that Seat Unique provides a marketplace service that allows users seeking to buy tickets to connect with sellers. Once you commit to buying any ticket(s) listed via our service, you acknowledge that you are entering into a legally binding contract with the seller and you have no right to cancel the transaction or change your mind.
    You must check the ticket(s) (including e-tickets) as soon as you receive them, and report any issues to WRU, without delay.
    Any ticket(s) you purchase via our service will be subject to the WRU Ticket Terms and Conditions (https://www.wru.wales/tickets/terms-and-conditions/ticket-terms-and-conditions/) (and any other terms and conditions imposed by either the WRU or the venue and/or the original ticket retailer). You are responsible for making yourself aware of such terms and conditions and you agree and confirm that by purchasing any ticket(s) via our service you are accepting and agree to abide by all terms and conditions applicable to the ticket(s) and the Match itself.
  8. Match Changes and CancellationAfter you have purchased your tickets, it is your responsibility to monitor the details of the Match right up until the Match takes place, as it is possible that dates, times, line-ups, locations, etc. may change. Seat Unique or WRU will inform you if a Match is cancelled or postponed.

Cancellation or matches behind closed doors

  1. If a Match is cancelled (meaning it will not take place at the venue on any date) or played behind closed doors without spectators present, Seat Unique will refund you the amount you paid for the ticket(s), less Seat Unique’s and WRU’s administrative fees specified in clause 3.3 of these Terms And Conditions Of Purchase. You will receive the refund within 30 days of the notice of cancellation.

Postponement

  1. If a Match is postponed (meaning it will be played at the venue, but the date or time has changed), you will be notified by Seat Unique and you will have the option of either: (i) receiving a refund; or (ii) attending the Match on the new date. You have 30 days from the date of notice of postponement to notify Seat Unique of your choice. If you do not select an option, you will be deemed to have chosen to attend the Match on the alternative date and your right to receive a refund shall have expired (except in the circumstances set out in clause 8.2 and 8.5).
  2. If you select a refund, Seat Unique will refund you the amount you paid for the ticket(s), less Seat Unique’s and WRU’s administrative fees specified in clause 3.3 of these Terms And Conditions Of Purchase. You will receive the refund within 30 days of the date on which you notify Seat Unique that you wish to receive a refund.

Covid-19

  1. DisputesIf you are unhappy with any part of our service and have a complaint, you can raise this with us via our support page or contact us at supporterexchange@wru.wales.
    If you are not satisfied with the outcome of your dispute and your transaction is covered by PayPal's Buyer Protection Policy (www.paypal.com/uk/webapps/mpp/ua/buyer-protection), you may contact PayPal in accordance with any time frame stipulated by PayPal to report the issue. We will provide all reasonable assistance to you in connection with your dealings with PayPal but we shall not be liable to you in the event that PayPal does not find in your favour.
    If you are unable to gain access to a Match with any ticket(s) validly purchased through our service, you must raise this with the venue and ask the venue to provide you with written proof that you have been denied access outlining the problem and providing a contact name at the venue, a copy of which we or PayPal will require.
    If the seller raises an issue with you or with us in relation to ticket(s) you have purchased via our service, if requested by us, you agree to return all purchased tickets to us - unused and at your cost - so that we may investigate and deal with the issue and/or any dispute that arises.
    You will co-operate with us at all times and comply with any requests by us for information or clarification or investigation in relation to your purchase or attempted purchase of any ticket(s) via our service.

D. LISTING TERMS AND CONDITIONS

These Listing Terms and Conditions form part of our Terms and Conditions that you expressly agree to be bound by when listing ticket(s) for sale or supply on our site.

PLEASE NOTE: ADDITIONAL TERMS AND CONDITIONS APPLY FOR SELLERS WHO ARE CLUBS AND ARE SELLING TICKETS THROUGH A DESIGNATED CLUB ACCOUNT. THESE ADDITIONAL TERMS ARE SET OUT IN CLAUSE 11 OF THIS POLICY.

  1. Minimum Requirements
    In order to list, offer for sale, supply and/or sell ticket(s) on our service, you must:have the permission of WRU (as such may be verified by us) to re-sell your tickets on the Supporter Exchange;
    be able to enter into legally binding contracts;
    be aged at least 18 years old; and
    not be offering ticket(s) for sale in the course of a trade, business or profession, or on behalf of others.
  2. ExclusivityYou are only permitted to sell or supply ticket(s) via our service on an exclusive basis. This means that whilst you have ticket(s) listed for sale or supply via our service, you must not offer those ticket(s) for sale or supply elsewhere (either online or otherwise) or transfer them to another person via other means.
  3. Restricted Tickets
    Certain tickets are restricted by WRU from being listed on the Supporter Exchange (“Restricted Tickets”). These include (but are not limited to), tickets that are:designated as ‘complimentary’ on the face of the ticket; and
    tickets issued to certain restricted groups (such as members of the national squad; directors and employees of the WRU (or any of its affiliates and group companies); ex-international players; referees; Club secretaries; competition winners; away Unions; and sponsors).
    No user of the site shall be permitted to list a Restricted Ticket for sale.
    If Seat Unique and/or WRU become aware that any Restricted Tickets have either been listed for sale in breach of these Terms and Conditions it shall be entitled, without recourse to it, to remove that ticket from the site and suspend any such user’s account.
  4. Digital DeliveryAll tickets bought and sold through the Supporter Exchange shall be delivered digitally via the Principality Stadium Ticketing App.
  5. Seat Unique Fees, Price and Payment to the SellerThe purchase price for the tickets made available on the Supporter Exchange are set by the seller of those tickets, and may be higher or lower than the face value of the ticket.
    The seller will, prior to listing a ticket on the Supporter Exchange, be notified by Seat Unique of the average asking price on the Supporter Exchange for tickets similar to those being offered by such seller. This tool is provided to act as a guide only. Neither Seat Unique nor WRU warrant the accuracy of any such guide price and the seller shall have ultimate responsibility for the price of any ticket it lists on the Supporter Exchange.
    The seller must, when listing a ticket for sale, provide the accurate face value of that ticket to the buyer.
    Sellers are required to have a PayPal account in order to list and sell Match tickets via our service.
    PLEASE NOTE: Seat Unique shall be entitled to charge a transaction fee to the seller of up to or equal to 10% of the purchase price of ticket (“Seller Transaction Fee”). This fee is non-refundable save as expressly set out in these Terms and Conditions.
    The Seller Transaction Fee set out at clause 5.5 will be deducted from the payment you receive from the buyer.
    £1 per ticket sold on the Supporter Exchange will be donated to Seat Unique and WRU charities. This donation will be deducted from the Seller Transaction Fee and will not affect the payment you receive or any refund you may be entitled to.
    Within 7-10 days after completion of the Match, PayPal will credit your account with the purchase price less any relevant transaction fees (including the Seller Transaction Fee).
    The seller is responsible for any and all PayPal costs and charges in respect of your transaction(s) with the buyer via our service.
    We will not be liable to you for any chargebacks claimed by and paid to the buyer.
  6. Personal InformationIn order to list ticket(s) on our site you will need to register for a seller account. This will require you to set up a user name and password (which you must keep confidential) and supply certain personal details to us.
    You should take care in the type of information you share via our service and you should only share personal information (including contact details and/or financial information, for example) with the buyer as necessary and requested by us (further details can be found in WRU’s Privacy Policy https://www.wru.wales/legal/legal-and-privacy/).
    All information and/or data and/or content that you provide and/or post (including in relation to your identity as well as in relation to ticket(s) or the events to which they relate) must be accurate and complete and must be kept up to date by you (this includes contact information, as we need to be able to contact you).
  7. Ticket ListingsYou agree that when listing your ticket(s), you will always act in good faith and provide all the information we request accurately and honestly.

    You must provide all individual characteristics of the ticket(s) you are selling, including, as applicable:name and location of the event;
    information necessary to enable the buyer to identify a seat or standing area such as seat number(s), row number(s), block or stand number(s);
    the original booking reference;
    information about any restriction which limits use of the ticket(s) to persons of a particular description (e.g. minimum or maximum age requirements, accessibility requirements);
    any other information the buyer could reasonably expect to be given in relation to the tickets (for example, if multiple tickets for any given event(s) are not seated together).
    You must indicate any terms and conditions which apply to the ticket(s) that restrict resale of the ticket(s) in any circumstance or way, or could lead to cancellation if the event organiser discovers the ticket(s) has been re-sold.

    You warrant and represent that the ticket(s) you offer for sale, list, sell and supply:are not subject to a prohibition on resale under the tickets' terms of sale;
    are not Restricted Ticket(s);
    exist and are valid for the Match stated;
    are authentic and not counterfeit;
    match the description in the ticket listing you supplied;
    have been legally acquired by you;
    can be sold via our service;
    are owned by you, and are not being resold for any commercial or illegal purposes;
    have been received by you, retained and continue to be accessible
    do not require proof of ID for entry (other than to prove age for age-restricted events, or for certain partner events), and are not otherwise personalised in any way.
    You are not permitted to list any tickets for sale within 48 hours of the scheduled kick-off time for a Match (the “Cut-Off Time”). Any tickets listed on the site that have not been sold on or prior to the Cut-Off Time for that Match will be removed for sale from the site and returned to the seller.
    By listing ticket(s), you are making an offer to supply such ticket(s) to the first buyer who accepts your offer and commits to buy such ticket(s). You and the buyer are therefore entering into a binding contract and when the buyer commits to purchase the ticket(s), you are bound to supply the relevant ticket(s) to that buyer strictly in accordance with the time-frame set out for the agreed delivery method.
    If you own and wish to list multiple ticket(s) to a Match, and the ticket batch contains an invalid ticket, the transaction for all tickets in that batch is invalid and any buyer(s) will be entitled to a refund.
    Your sale will not be confirmed to the buyer until we have received confirmation of full payment by the buyer, following which we will send you confirmation of the sale.
    While your ticket(s) remains listed but unsold, you may cancel and remove your listing at any time.
    Once your ticket(s) have been sold (regardless of whether you have received confirmation of sale from us), you acknowledge and agree that you may NOT change your mind and cancel the transaction under any circumstances (including if the date or location of the Match changes). Following the sale of your tickets on the site, you will be sent a confirmation e-mail by Seat Unique confirming that your tickets have been sold and providing instructions on how to transfer your tickets to the buyer. You must undertake the actions set out in this e-mail in a timely manner and in any event within the timescales set out in that e-mail. PLEASE NOTE: If a seller fails to or is unable to deliver the exact tickets listed for sale in accordance with the instructions provided to it by Seat Unique, Seat Unique reserves the right to cancel the seller’s sale, find replacement tickets for the buyer and to charge to the seller’s payment method all costs incurred by Seat Unique and/or WRU, including but not limited to the cost of replacement tickets.
    You will not be entitled to keep the ticket(s), transfer them to anyone other than the buyer or demand their return if you have already supplied them to the buyer.
    Please note that the laws that govern the resale of tickets may be subject to change and may differ depending on your legal jurisdiction. It is your responsibility to ensure that any ticket(s) you sell comply with the laws of your legal jurisdiction.
    When setting the sale price of your tickets and selling tickets through the Supporter Exchange, it is your responsibility to comply with all applicable laws, statutes, and regulations, including any applicable ticket reseller regulations.
    You agree that by permitting the listing or sale of any ticket(s) via our service, we make no assurance or guarantee that such listing or sale is permitted or authorised.
    You agree that if you are listing and/or selling ticket(s) via our service, you take full responsibility for your actions.
    You cannot deny responsibility for the authenticity or legality of ticket(s) that you list or offer for sale or supply to other users.

    We reserve the right to reject and/or remove your listing and any content posted by you on our service, in the event that:your tickets have been listed after the Cut-Off Time or have not been sold on or prior to the Cut-Off Time;
    we discover that you have listed a Restricted Ticket(s);
    we are unable, after making reasonable enquiries, to verify your identity or the ticketing information you have listed or supplied;
    you breach any terms of the Terms and Conditions (including this Listing Terms and Conditions);
    we discover that you have supplied any false information or we are unsure about the accuracy of your listing;
    we have any concerns about you as a seller based on your current or previous conduct when using our service; and/or
    we need to contact you but are unable to do so using the contact details you have provided.
    We do not guarantee that your tickets will sell or that your ticket listing will publicly appear on the Supporter Exchange within a certain time after it is posted. Neither Seat Unique nor WRU will, for any reason, provide any compensation for unsold tickets.
  8. Event Cancellation or PostponementIf the Match you have sold ticket(s) for is cancelled, postponed or played behind closed doors, you will be informed by Seat Unique or the WRU and the process set out in this clause 8 will apply.

Cancellation or matches played behind closed doors

  1. If a Match is cancelled (meaning it will not take place at the venue on any date) or played behind closed doors without spectators present, your ticket sale will be automatically cancelled (and no Seller Transaction Fee will be payable) and WRU will refund you the amount you paid for the ticket(s) in accordance with the WRU’s Ticket Terms and Conditions (https://www.wru.wales/tickets/terms-and-conditions/ticket-terms-and-conditions/) under which you made your original purchase. You will receive the refund within 30 days of the notice of cancellation.

Postponement

  1. If a Match is postponed (meaning it will be played at the venue, but the date or time has changed), the buyer will be given the option of either: (i) receiving a refund; or (ii) attending the Match on the new date. The buyer will have 30 days to select an option.
  2. If the buyer chooses to attend the Match on the new date, there will be no change to your sale of the ticket and you will receive your payment in accordance with clause 5 after the completion of the Match. Please note, you may NOT change your mind and cancel the transaction in these circumstances.
  3. If the buyer chooses a refund, your ticket sale will be automatically cancelled (and no Seller Transaction Fee will be payable) and you will be given the option of either: (i) receiving a refund from WRU; (ii) retaining the ticket(s) to attend the Match on the new date; or (iii) relisting the ticket(s) on the Supporter Exchange. If you select a refund, WRU will refund you the amount you paid for the ticket(s) in accordance with the WRU’s Ticket Terms and Conditions (https://www.wru.wales/tickets/terms-and-conditions/ticket-terms-and-conditions/) under which you made your original purchase. You will receive the refund within 30 days of the notice of cancellation.
  4. Consequences of BreachIf tickets are listed and/or sold through the Supporter Exchange in breach of these Terms and Conditions, Seat Unique and WRU reserve the right to take any such action as it shall deem necessary against any such seller (whether that be an individual or a Club) including to, but not limited to, referring any such seller to the WRU’s ticket review panel which shall be able to deliver potential sanctions against such seller and/or retaining or refunding any money paid by a buyer that has not been distributed to the seller.
  5. Dispute ResolutionYou will co-operate with us at all times and comply with any requests by us for information or clarification or investigation in relation to your listing or sale of any ticket(s) via our service.
    If you are unhappy with any part of our service and have a complaint, you can raise this with us via our support page.
  6. Club Account Terms

The following terms in this clause 11 apply only to sellers that are Clubs and whose tickets are listed for sale through a designated Club Account.

  1. Where a Club (including a so called “district club”, as designated by the WRU) has purchased at least 10 tickets to a Match through its separate arrangements with the WRU, that Club may only sell up to 15% of their allocation (rounded up so that tickets can be sold as such in at least a pair) from the WRU on the Supporter Exchange Marketplace for a price above the ticket’s face value. Any number of additional tickets may be sold at (or beneath) face value.
  2. In addition to the payment options set out in clause 5, payment for tickets sold through Club Accounts may also be made by bank transfer upon ticket fulfilment to the buyer of the ticket on the Supporter Exchange.
